1. Introduction
This document sets forth the terms and conditions under which Let's Manage India Pvt Ltd ("Service Provider") offers comprehensive graphic design services. These services include the design of logos, brochures, menus, banners, flyers, social media posts, videos, reels, business cards, corporate branding packages, posters, and all other forms of graphic design content. By agreeing to these terms, the client consents to abide by and comply with the conditions outlined herein.
2. Payment Terms
Payment for services must be made in full and in advance. The Service Provider will specify acceptable payment methods in the client’s invoice or service agreement. This may include bank transfers, credit card payments, or other online payment platforms. Detailed payment instructions and terms will be provided at the time of agreement.
3. Scope of Services
The Service Provider’s graphic design services are extensive and include, but are not limited to, the following:
- Logo Design: Creating distinctive logos tailored to the client’s brand identity.
- Brochures: Crafting informative brochures in both print and digital formats.
- Menus: Designing visually appealing and functional menus for restaurants and cafes.
- Banners: Developing banners for both digital use and print media.
- Flyers: Producing engaging flyers for promotional campaigns.
- Social Media Posts: Generating customized graphics for various social media platforms.
- Videos and Reels: Creating short video content tailored for social media sharing.
- Business Cards: Designing professional business cards.
- Corporate Branding Packages: Offering comprehensive branding solutions including stationery, business cards, and other corporate identity elements.
- Posters: Designing posters for events, promotions, and informational purposes.
- Other Graphic Design Services: Including but not limited to infographics, book covers, album art, and email marketing templates.
Each project will begin with a detailed client consultation to establish project goals, target audience, and specific design requirements.
4. Design Brief and Specifications
Clients are required to provide a detailed design brief including preferred colors, style, target demographic, and specific design requirements. This brief should be comprehensive and provided at the project’s inception. Substantial changes to the design brief after project commencement will be considered new projects and will incur additional charges.
5. Revisions and Modifications
The Service Provider offers the following plans with specific revision allowances:
- Starter Plan: Includes up to 3 revisions within 3 days of initial delivery.
- Business Plan: Includes up to 5 revisions within 15 days of initial delivery.
Requests for additional revisions beyond these limits will be subject to extra charges. The specific rates for additional revisions will be agreed upon in the service agreement. All revision requests must be made within the time frame specified in the plan selected.
6. Intellectual Property Rights
Upon final payment, the client will obtain ownership of the final design outputs. All other preliminary designs, drafts, and concepts that were not selected remain the property of the Service Provider. Rights to these materials can be negotiated if desired by the client but are not automatically transferred.
7.Media and Third-Party Content Responsibility
Clients are solely responsible for providing all media assets, including images, QR codes, videos, logos, and other creative files, and must ensure they hold the necessary rights and permissions for their use. Where we assist by generating or sourcing any such assets, this is offered purely as a convenience, and we accept no liability for the accuracy, legality, or ongoing availability of those assets. Furthermore, any functionality or content that relies on third-party services, such as QR code providers, image libraries, hosting platforms, or APIs, remains outside our control, and we shall not be held responsible for any failures, expirations, removals, or interruptions of service. Clients acknowledge these risks and agree that we will not be liable for any issues or damages arising from the use, malfunction, or unavailability of such media or services.
8. Delivery and Timeframes
Estimated delivery times for design projects will be specified at the beginning of the agreement. Clients are required to download and save their files within 15 days of delivery. While the Service Provider may keep files on their servers beyond this period, they do not guarantee their availability indefinitely.
9. File Storage and Liability
Client files will be stored on the Service Provider’s servers for 15 days following delivery. Beyond this period, the Service Provider does not guarantee file availability. Clients are strongly encouraged to store their copies of all files. The Service Provider is not liable for any loss or damage to files stored on their servers after the 15-day period. Requests for file recovery or recreation due to data loss will incur charges as per new project rates.
10. Cancellation and Refund Policy
If a project is canceled by the client after work has commenced but before final delivery, a cancellation fee of 90% of the total project cost will apply. A full refund will be issued if the project is canceled before work has commenced.
11. Liability and Indemnification
The Service Provider is not liable for any direct, indirect, incidental, or consequential damages arising from the use of the designs. The client agrees to indemnify and hold harmless the Service Provider against any claims arising from copyright infringement or other intellectual property violations related to the use of the designs.
12. Changes to Terms and Conditions
These terms and conditions may be amended by the Service Provider at any time. Significant changes will be communicated to existing clients via email or another direct communication method.
13. Dispute Resolution
Disputes related to these terms and conditions or the services provided shall be resolved through negotiation. If necessary, legal proceedings will be conducted in the jurisdiction of the Service Provider.
14. Final Agreement
By commissioning graphic design services from the Service Provider, the client fully agrees to these terms and conditions. This document supersedes any prior agreements or understandings between the parties.
15. Additional Services
The Service Provider is also capable of handling additional graphic design needs that may not be explicitly listed here. These services will be subject to the same terms and conditions, and specifics will be outlined in individual service agreements.
