1. Introduction
These Terms and Conditions govern the provision of website and app development, maintenance, and related services by Let's Manage India Pvt Ltd ("Let's Manage," "we," "our," or "us") to the Client ("you," "your," or "Client"). By engaging Let's Manage for any services, you agree to these terms and conditions.
2. Scope of Services
2.1 Development Services:
Let's Manage will develop a website or app for the Client based on their specific requirements and specifications, as outlined in the project proposal. The development timeline specified in the contract or invoice refers exclusively to the delivery of the initial version ("First Look") of the website or app.
2.2 Timeline Extensions and Revisions:

The timeline for website/app completion is applicable for providing the First Look only.

If the Client requests changes or revisions after the First Look, the project timeline will be accordingly revised and extended.

A limited number of revisions are included, based on project cost:

For projects under INR 25,000 (excluding taxes): Up to 3 revisions/changes included.

For projects between INR 25,000 and INR 75,000 (excluding taxes): Up to 5 revisions/changes included.

For projects between INR 75,000 and INR 2,00,000 (excluding taxes): Up to 7 revisions/changes included.

For projects above INR 2,00,000 (excluding taxes): Number of revisions as per the specific contract.

Any further changes or revisions beyond the included limit will be chargeable at the standard hourly/project rate, as communicated by Let's Manage.
2.3 Maintenance Services:
Maintenance services include updates, bug fixes, and ongoing support as outlined in the maintenance contract.
3. Project Costs and Payments
3.1 Pricing:
The total project cost, including any paid themes, plugins, or scripts, will be detailed in the project proposal.
3.2 Deposits and Payment Schedule:
A payment schedule of 80% advance and 20% before the site goes live for public access will be followed.
3.3 Cancellation Fees:
In case of project cancellation by the Client before completion, the Client will be charged 70% of the project value or for the number of hours worked (at INR 300 per hour for budget projects & INR 1500 per hour for higher value projects), whichever is higher. (Higher value projects are those with a project value of INR 50,000 and above [excluding taxes].)
3.4 Non-Refundable Charges:
Hosting and domain charges are non-refundable under any circumstances.

4. Client Responsibilities – Content, Images, and Media
4.1 Provision of Materials:
The Client is solely responsible for providing all content, images, videos, logos, qr , graphics, and other media required for the development of their website or app. All materials must be provided in suitable formats, as agreed upon at the project’s outset.
4.2 Timely Submission:
The timely delivery of required materials is essential to meet the development timeline. Any delay in providing necessary content or media may result in an extension of the project delivery schedule.
4.3 Ownership and Rights:
The Client affirms that all materials supplied (including but not limited to text, images, videos, and other media) are either owned by the Client or the Client has obtained appropriate rights and licenses to use them.
4.4 Indemnity and Responsibility:
Let's Manage will not be responsible for sourcing, verifying, or obtaining images, videos, or any other content for the Client’s website/app, unless explicitly agreed upon in writing. The Client shall be fully liable for any copyright infringement or legal issues arising from the use of materials supplied by the Client.
4.5 Content and Media Services (Optional):
If the Client opts for Let's Manage’s content writing or media sourcing services, such services will be quoted separately and subject to separate agreement and charges.
5. Content Writing Charges
5.1 Client-Provided Content:
If the Client chooses to provide their own written content, it must be free from plagiarism. Let's Manage will not be responsible for any content-related issues such as duplication or unauthorized use.
5.2 Let's Manage Content Writing Services:
If the Client opts for Let's Manage’s content writing services, our expert content writers will provide unique, plagiarism-free content. A plagiarism report will be shared with the Client along with the final content delivery. Content writing charges will be additional and communicated to the Client beforehand. Once content is approved, all further revisions will be chargeable unless there is an error.
6. Website and Domain Transfer
6.1 Website Transfer Request:
If a Client wishes to transfer their website away from Let's Manage, they are encouraged to first discuss any concerns with our team by emailing hello@letsmanage.co.in or contacting us at +91 85300 23111.
6.2 Website Transfer Charges:
The website files and database are reserved as the property of Let's Manage. For sharing website files and databases, additional transfer charges will apply, depending on the website's functionality and complexity. These charges will be communicated to the Client prior to the transfer process.
6.3 Right to Refuse Transfer:
Let's Manage reserves the right to refuse any transfer request for sharing files and databases of websites developed by us.
6.4 Domain Transfer:
The Client may transfer their domain from Let's Manage at any time without charges. The Client is responsible for any charges incurred with the new domain registrar. Let's Manage holds no liability for domain transfer-related charges.
7. Server Access and Client's Own Server
7.1 Server Credentials:
Server credentials or access will not be provided to the Client under any circumstances.
7.2 Client's Own Server:
If the Client chooses to use their own server, the cost of website development will be higher, and no agency licenses will be used in that project. These terms will be communicated and agreed upon before the commencement of the project.
8. Renewal of Website Development Services
8.1 Renewal Notification:
Clients will receive a notification prior to the expiration of their current subscription. Renewal charges will be communicated to the Client as per the terms and conditions of the service agreement.
8.2 Service Termination:
If the Client fails to renew the website services by the due date, Let's Manage reserves the right to terminate the website services without any prior notice. The website will be taken down after the due date.
9. Grace Period and Data Deletion
9.1 Grace Period:
A grace period of 10 days will be given to the Client after the due date, during which the website will be down. Higher Domain Redemption Fee and Domain Renewal Fee will apply to keep the domain available only for the Client during this period.
9.2 After Grace Period:
After the grace period, the domain will become publicly available, and anyone can purchase it. The website files and database will be deleted from Let's Manage's servers. Let's Manage will not be responsible for any loss or damages due to the website's termination after the grace period.
10. Licensing and Credits
10.1 Paid Themes, Plugins, and Scripts:
Any paid themes, plugins, or scripts provided with the license to Let's Manage will be used in the development of your website or app. These licenses are not transferable to the Client.
10.2 Credit in Footer:
All websites or apps developed by Let's Manage will include a credit line such as "Powered By / Maintained By / Developed by Let's Manage" in the footer.
10.3 Removal of Credit:
If the Client wishes to remove this credit, the Client must purchase a new license for all paid themes, plugins, or scripts used in the website. Let's Manage's licenses will not be valid for these websites.
10.4 High-Value Projects:
For custom projects valued above INR 1.5 lakhs (excluding taxes), it will be at the Client’s discretion to include our credit in the footer. A written consent will be obtained from the Client. Such projects should not use any agency-licensed items.
11. Liability and Indemnity
11.1 Limitation of Liability:
Let's Manage will not be liable for any indirect, incidental, or consequential damages arising out of or related to the services provided.
11.2 Indemnification:
The Client agrees to indemnify and hold harmless Let's Manage from any claims, damages, liabilities, costs, or expenses arising from the Client’s use of the developed website or app, including but not limited to the use of materials supplied by the Client.
12. Governing Law and Jurisdiction
These terms and conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of India.
13. Amendments
Let's Manage reserves the right to amend these terms and conditions at any time. Any changes will be communicated to the Client in writing.
Acknowledgment
By paying any advance amount or engaging Let’s Manage for website/app development and maintenance services, the Client acknowledges that they have read, understood, and agreed to these terms and conditions.
